By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. About Digitum

Digitum Marketing is a digital marketing agency offering Google Ads management, marketing automation, SEO, website development, and lead generation services. We serve service-based businesses primarily in the United Kingdom, UAE, and Pakistan.

2. Use of Our Website

When you engage Digitum to provide marketing services, the specific scope, deliverables, timelines, and fees will be agreed in a separate written agreement or proposal between us and you (“Service Agreement”).

These Terms of Service apply to all engagements and are incorporated into any Service Agreement unless explicitly stated otherwise in writing.

We offer services including but not limited to:

  • Google Ads campaign setup and management
  • Search engine optimisation (SEO)
  • Website and landing page development
  • Marketing automation and CRM setup via GoHighLevel
  • Lead generation systems and funnel builds
  • Reporting and performance analysis

4. Client Responsibilities

To allow us to deliver our services effectively, you agree to:

  • Provide accurate and complete information about your business, goals, and target audience
  • Grant us the access and permissions required to perform the agreed work (such as Google Ads account access, website admin access, or platform credentials)
  • Review and provide feedback on deliverables within agreed timeframes
  • Ensure that any content, assets, or materials you provide to us do not infringe on third-party intellectual property rights
  • Pay invoices according to the payment terms set out in your Service Agreement

Delays caused by failure to meet these responsibilities may affect delivery timelines. We are not liable for delays or underperformance caused by missing or late client inputs.

5. Payments and Fees

Fees for our services are set out in the relevant proposal or Service Agreement. Unless stated otherwise:

  • Invoices are due within the payment period specified in the agreement
  • We reserve the right to pause or suspend work on overdue accounts
  • Ad spend and third-party platform costs are separate from our management fees unless explicitly included in writing
  • All fees are quoted exclusive of applicable taxes unless stated otherwise

Refunds are not provided for work already completed or time already spent. Any refund arrangements must be agreed in writing before engagement begins.

6. Intellectual Property

Our content: All content on this website, including text, graphics, logos, and design, belongs to Digitum Marketing or its licensors. You may not reproduce or use it without written permission.

Work we produce for you: Unless agreed otherwise in your Service Agreement, intellectual property rights in deliverables created for you will transfer to you upon full payment of all fees owed.

Your content: You retain ownership of all content, data, and assets you provide to us. By providing them, you grant us a limited licence to use them solely for the purpose of delivering your services.

7. Confidentiality

Both parties may share confidential business information during our engagement. Each party agrees to keep the other’s confidential information private and not to disclose it to third parties without written consent, except where required by law.

This obligation continues for two years after the end of any engagement.

8. Results and Guarantees

Digital marketing results depend on many factors including market conditions, competition, platform algorithm changes, ad spend levels, and the quality of your product or service. We do not guarantee specific results such as a fixed number of leads, a specific cost per lead, or a particular return on ad spend.

We commit to applying our expertise, using best practices, and working transparently with you toward your stated goals. We will report on performance honestly and adjust strategies based on the data.

9. Limitation of Liability

To the fullest extent permitted by law, Digitum Marketing will not be liable for:

  • Indirect, incidental, or consequential losses arising from use of our services or website
  • Loss of revenue, profits, or business opportunities
  • Losses resulting from platform policy changes, algorithm updates, or decisions made by Google, Meta, or any third-party platform
  • Losses caused by your failure to meet your responsibilities as set out in Section 4

Our total liability to you for any claim arising from our services will not exceed the total fees paid by you to us in the three months preceding the claim.

10. Third-Party Platforms and Tools

Our services involve the use of third-party platforms including Google Ads, GoHighLevel, Meta, GA4, GTM, and others. We are not responsible for changes to these platforms, including policy changes, pricing changes, feature removals, or outages that affect your campaigns or results.

You are responsible for ensuring your business and advertising comply with the terms and advertising policies of any platforms used in your campaigns.

11. Termination

Either party may terminate a service engagement by providing written notice as specified in the relevant Service Agreement. Unless stated otherwise, the notice period is 30 days.

Upon termination:

  • All outstanding fees for work completed up to the termination date become immediately due
  • We will return or transfer access to any accounts or assets belonging to you
  • Each party will return or destroy the other’s confidential information

We may terminate immediately and without notice if you materially breach these Terms or your Service Agreement and fail to remedy the breach within 7 days of written notice.

12. Governing Law

These Terms are governed by the laws of Pakistan. For clients based in the United Kingdom, we will work to resolve any disputes in good faith and in accordance with reasonable UK commercial practice. Any formal disputes that cannot be resolved amicably will be subject to the jurisdiction of the courts of Pakistan, unless otherwise agreed in writing.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Continued use of our website or services after any changes constitutes your acceptance of the updated Terms.

For active clients, material changes to Terms that affect your engagement will be communicated directly.
